Project E10: PactPro – Automated Mergers & Acquisitions

Automated Due Diligence Assessments

PactPro is an Entrepreneurship Capstone platform built for Mergers and Acquisitions (M&A) brokers, with a focus on ASEAN SMEs.

These professionals advise clients on the acquiring and sale of companies, while conducting extensive due diligence throughout the transaction process. However, M&A brokers do not have a centralised system for closing deals; there is fragmented deal sourcing, limited financial expertise and slow manual due diligence.

These pain points decelerate deal closures.

Our aim is to bridge this gap by using PactPro to streamline and optimise the due diligence process through AI, data automation and intelligent analytics.

The Singapore Mergers and Acquisitions (M&A) Market

IMG_1214

In Singapore, M&A activity has been strong, with $51 billion recorded in the first nine months of 2024 and first-half of 2025 deal value rising 3.2% to $35.2 billion

At the same time, global volatility and rising political uncertainty have made investors more cautious when committing capital to startups and Small and Medium Enterprises (SMEs).

Due diligence has therefore become an increasingly important factor in building trust between investors and companies and in deciding whether to proceed with an investment or acquisition.

User Journey

Our User Journey starts from the M&A brokers finding the Businesses in the Marketplace. They will then engage our financial due diligence platform for analysis of the business listed. If the broker wants to due more in-depth research, he/she will proceed to the Board Research where they get to gain insights about the management of the company.

Our Solutions

PactPro Marketplace

The PactPro Marketplace aims to connect people who want to buy or sell businesses. When submitting the form, users input their details, what they are looking for and supporting documents. Natural Language Processing (NLP) methods are used to scan through uploaded texts and documents to find matches. PactPro charges a fee for any matches found.

PactPro Automated Due Diligence Application

The Due Diligence Application provides a platform for SME purchasing or investing.

It is designed to support investors, acquirers, and deal teams evaluating SMEs by bringing the due diligence process into one platform. It helps users collect and organize documents, extract key information, assess potential risks and generate clear summaries that make findings easier to review and share. By reducing manual work and improving consistency, the application enables faster, more informed decision-making throughout a transaction.

The web application and line-item extraction workflow are designed around annual financial statements filed with and obtained from ACRA, which serve as the primary source documents for analysis. To ensure accurate extraction and consistent results, SMEs should prepare and submit financial statements that follow ACRA’s filing requirements and standard reporting format.

Solution Features

Line-Item Extraction

The line-item extraction process turns uploaded PDF pages into machine-readable text and layout data, then scans the document to find the pages and rows most likely to contain each requested metric. It uses extraction. When the first pass is unclear or low confidence, an LLM-based second line reviews the surrounding text to identify the most relevant phrasing and helps rerun the extraction for a more accurate final result.

To benchmark the accuracy of PactPro line item extraction, financial statements from 10 different companies were fed into PactPro, NotebookLM and ChatGPT services. The results are shown in the following table below:

Automated Due Diligence Assessments

Two Automated Due Diligence Assessments are currently available:

  1. Core Financial Due Diligence and Valuation Assessment that provides a structured review of a company’s financial position using key performance ratios and cash-flow based valuation.
  2. Cash Burn and Runway Assessment which evaluates how quickly a company is consuming cash, how long existing liquidity can sustain operations and the extent to which the business relies on external financing to continue operating.

Users also have the option to mark metrics as “Review Needed” or “No Issue”. Users are also able to adjust the threshold values that trigger metric flagging for each assessment generated.

Collaboration Features

VDRs are shared through a secure invite-based access model. A user with the right permissions selects a VDR, enters the recipient’s email address and assigns an access level such as Viewer or Contributor. Once the invite is accepted, that user’s account is linked to the VDR and their role controls what they can view or do inside the data room, making sharing both controlled and auditable.

Board Research

The Background Research feature helps users quickly build a clearer picture of a founder by turning a few key inputs, such as the person’s name, company, and relevant context, into a structured review of publicly available information. It searches online sources, gathers and organizes notable background details, and assesses signals related to consistency, reputation, and potential risk. The result is a concise report that summarizes the findings, highlights important watchouts, and gives users a more informed starting point for due diligence.
